Corporate Paralegal

New York City (lower Manhattan)

One of the world’s premier firms has a great opportunity to work with their award-winning Corporate practices! As the Corporate Paralegal you will provide organizational and substantive assistance to the attorneys in the group. In this role, you’ll work closely with attorneys focusing on mergers & acquisitions, private equity investments & buyouts, private equity funds, and our leading blockchain practice.
You will assist in all phases of corporate transactions from inception to closing. Assist with entity formation, including drafting subscription, shareholder, employment, and confidentiality agreements, checking and reserving corporate names, and preparing drafts of corporate organizational documents. Draft and file documents related to business incorporation and ongoing operations. Assist with closings of venture capital financings, public offerings, acquisitions and mergers, and other transactions. Assist with due diligence and data rooms. Organize and maintain deal documents, minute books, corporate records, and stock ledgers. May prepare and file UCC financing statements, Blue Sky and SEC registrations, and public company SEC filings. May assist with stock option plan administration, including drafting BOD/shareholder plans, resolutions, agreements, and other state and federal filings.
Please have a Bachelor’s Degree and Four years relevant experience in the Corporate practice area or in a similar practice such as SEC, Finance, Real Estate, Banking etc. with the ability to learn quickly.
You must be highly proficient with Windows-based software used by the firm, including MS Word, PowerPoint, Excel, Outlook and Mac Pac.

$65,000 to $100,000 DOE with some paid overtime, 9-5:30, outstanding medical benefits and a fantastic firm culture.
